Terms of Service

1. Agreement to these terms

These Terms of Service govern your access to and use of the Steryl platform, operated by Steryl Health Ltd ("Steryl", "we", "us"). By registering an organisation, signing in, or otherwise using the platform, you agree to be bound by these terms on behalf of yourself and the organisation you represent. If you do not agree, do not use the platform.

2. Definitions

• Platform — the Steryl web application and any related services, including batch label verification.
• Organisation — the hospital, diagnostic centre, pharmacy, manufacturer or distributor whose account is registered.
• Administrator — a user able to create accounts, departments and orders within an Organisation.
• User — any individual given access under an Organisation's account.

3. Eligibility

The platform is for healthcare organisations and their personnel. You must be at least 18 years old and authorised to act for the Organisation you register. You must provide accurate, current information, including a valid regulatory licence or accreditation number where one applies to your category of business.

4. Accounts, verification and security

• New registrations are reviewed by a Steryl administrator before the workspace is activated. We may approve, decline, or ask for further documentation.
• We may suspend or close an account where a licence is invalid, expired, revoked, or where information supplied is materially false.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• Administrators are responsible for the accounts they create, for assigning appropriate permissions, and for promptly removing access when a person leaves the Organisation.
• Notify us immediately at security@sterylhealth.com if you suspect unauthorised access.

5. Your responsibilities as an Organisation

• You are responsible for the accuracy of the data you enter — stock levels, batch numbers, expiry dates, quantities and pricing.
• You must use the platform only for lawful purposes and in line with all applicable healthcare, pharmaceutical, licensing and customs regulations.
• You must not enter patient-identifiable clinical records. The platform is a supply-chain and inventory system, not a clinical records system.
• Where you act as a distributor or manufacturer, you are responsible for the legality, quality, storage and handling of the products you list, sell or supply.

6. Acceptable use

You must not:

• Attempt to access data belonging to another Organisation, or bypass access controls.
• Interfere with, disrupt, overload or attempt to probe the platform's security.
• Scrape, harvest or systematically extract data other than your own through the intended interfaces.
• Upload malware, or any code intended to damage or gain unauthorised access to systems.
• Use the platform to distribute counterfeit, substandard, unregistered or illegally imported medical products.
• Misrepresent a product's origin, batch, expiry or regulatory status.
• Resell or sublicense access to the platform without our written consent.

We may suspend access immediately and report to the relevant authorities where we reasonably believe a breach involves counterfeit medicines or a risk to patient safety.

7. Medical and professional disclaimer

Steryl is a supply-chain and inventory platform. It does not provide medical advice, diagnosis or treatment, and nothing in it should be relied on as clinical guidance. Product information, stock levels and batch data are supplied by the organisations using the platform. Clinical decisions must be made by qualified healthcare professionals, and products must be handled in line with the manufacturer's instructions and applicable law.

Batch label verification confirms that a batch number exists in the registry and matches the details recorded against it. It is a useful authenticity signal, but it is not a guarantee of product quality, safety or efficacy, and it does not replace pharmacovigilance, regulatory inspection or laboratory testing.

8. Orders, pricing and availability

• Orders placed through the platform are requests to transact between the parties involved. Steryl is not a party to those transactions and does not take title to any goods.
• Prices, availability, lead times and delivery terms are set by the organisations concerned, not by Steryl.
• Approval workflows, spend limits and department structures are configured by each Organisation and remain its responsibility.
• Disputes about quality, quantity, delivery or payment are between the transacting parties.

9. Intellectual property

The platform, its design, software, trade marks and documentation are owned by Steryl Health Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform for your Organisation's internal business purposes during the term of your account.

You retain ownership of the data you upload. You grant us a licence to host, process and display that data as needed to operate the platform and provide the services you have requested.

10. Service availability

We aim to keep the platform available at all times, but we do not guarantee uninterrupted service. We may suspend access for maintenance, upgrades, security responses or events beyond our reasonable control. Where planned maintenance is expected to be disruptive, we will give reasonable notice.

11. Fees

Where a subscription fee applies to your Organisation, the amount, billing period and payment terms will be set out in your order or agreement with us. Unless stated otherwise, fees are non-refundable, and we may suspend access for non-payment after reasonable notice.

12. Limitation of liability

To the fullest extent permitted by law, Steryl is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business or anticipated savings, however arising.

We are not liable for loss or damage arising from inaccurate data entered by Users, from products supplied by third parties through the platform, from counterfeit or substandard products, from clinical decisions, or from a User's failure to follow applicable regulations.

Our total aggregate liability in connection with the platform is limited to the fees paid by your Organisation to Steryl in the twelve months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold Steryl harmless against claims, losses and costs arising from your use of the platform, your breach of these terms, your violation of any law or regulation, or a dispute between you and another organisation using the platform.

14. Suspension and termination

• You may close your Organisation's account at any time by contacting us.
• We may suspend or terminate access for material breach of these terms, non-payment, invalid licensing, or where required by law.
• On termination, access ends and data is retained or deleted in line with our Privacy Policy.
• Provisions that by their nature should survive — including intellectual property, liability, indemnity and governing law — continue to apply.

15. Changes to these terms

We may update these terms as the platform and the law evolve. Material changes will be notified to Organisation administrators. Continuing to use the platform after an update means you accept the revised terms.

16. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have exclusive jurisdiction over any dispute arising from them, unless the parties agree otherwise in writing.
